What this is

Filings Desk ("we", "us") reads filings that companies have submitted to the U.S. Securities and Exchange Commission and are published by the SEC through EDGAR. We return three things: an index of a company's filings, typed financial facts from its own XBRL data, and a paragraph-level comparison of one section of an annual filing against the previous one. You ("you", "the customer") pay per call at the rates published on our pricing page. We are an independent Ounie product, and we are not affiliated with, endorsed by, or acting on behalf of the SEC.

What this is not — read this one

Filings Desk reports what a company filed and how the language changed. It is not investment advice and it is not a recommendation.

There is no score, rating, outlook, target or recommendation anywhere in this product. We do not tell you whether a company is a good or bad investment, and nothing we return should be read as suggesting that you buy, sell or hold anything. We are not a broker-dealer, not an investment adviser, and not a research provider within the meaning of any securities regulation. If you need advice about an investment, speak to someone qualified and regulated to give it.

The tone signal on a reworded paragraph is a lexical measurement — it counts hedging words against severity words per hundred words and reports which way the density moved. It is not a judgement about what a company meant, intended, or believes, and it must not be quoted as one. Every response returns the measurements behind the label so you can check it yourself.

EDGAR holds filings, not quotes: there is no price, valuation or market data in this product of any kind.

Accuracy

We report what a filing says. We do not verify it, audit it, or correct it — a company's own errors, restatements and omissions travel through to our output, which is why every figure we return carries the accession number of the filing it came from and every comparison links both source documents. Check the original before you rely on anything.

Section extraction is mechanical and can fail. Smaller reporting companies may omit risk factors entirely, some filers incorporate a section by reference to an exhibit, and a small number of filings are formatted in ways our extraction rejects. In each case we return the reason and charge nothing. Where we cannot read an answer honestly we say so rather than guessing — treat that as unanswered, never as an absence of risk.

Billing

There is no subscription. Calls are billed in Ounie credits (1 credit = 1¢) from your shared Ounie wallet: 3 credits for a filings index, 5 for a fact bundle, and 12 for a comparison. Credits are reserved when a call starts and settled only when it produces an artifact. A call that produces nothing — no filing matched, no requested metric tagged, the section not extractable — refunds the reservation in full and automatically, to the exact pools it was drawn from. A comparison that finds no changes is a real result and is billed. Credits are purchased and managed on ounie.com; your past runs stay readable regardless of your balance.

Keyless x402 calls are paid per call in USDC. A request we can see is invalid is refused before any price is quoted. Otherwise the payment is verified before the work runs and settled only once there is a real artifact, so a call with nothing behind it is refused rather than charged. A settled x402 payment is final and cannot be refunded.

Acceptable use

Submit tickers and CIKs, not payloads. Do not present our output as investment advice, a rating, a research report, or a statement of fact about a company beyond what its filing says — including by quoting a tone signal without the measurement that qualifies it. Do not attempt to discover endpoints we have not documented, bypass rate limits, or resell raw access to the service.

Attribution

Filing content is the filers' own and is published by the SEC as a public record; we reproduce excerpts to show our working and link the source document every time. If you republish a result, keep the source links with it.

Availability

The service depends on the SEC's EDGAR service and, for the optional summary on a comparison, a language-model provider. Both may refuse, throttle or change under their own policies. A scheduled probe checks the summary provider; while it is refusing, comparisons that asked for a summary are refused up front and nothing is charged. The other calls, and comparisons run with summary: false, are unaffected. We cannot guarantee uninterrupted availability.

No warranty

The service is provided as-is, without warranty of merchantability, fitness for a particular purpose, or non-infringement.

Refunds

Calls that produce nothing, and failed calls, refund automatically — the credit reservation is reversed to the exact pools it was drawn from. For anything else, open a support ticket.

Liability

Our liability is capped at the amount you paid us in the prior 12 months. We are not liable for indirect, incidental, or consequential damages, including any loss arising from your reliance on a figure, a comparison, or a tone signal.

Termination

Either party can terminate at any time. You keep access to runs you have already paid for and can export them before closing your account. We may suspend accounts for material violations of these terms with notice.
